Member States may exempt first-wave undertakings below the new thresholds for financial years 2025 and 2026 (new final subparagraph of Article 5(2)). Third-country groups report where EU net turnover exceeds EUR 450 million in each of the last two financial years. Undertakings in the value chain with up to 1 000 employees may decline information requests beyond the voluntary standard. The 2025/794 dates for financial years from 1 January 2027 still govern the start of the second wave.
Article 3(1) amending Article 5(2) of Directive (EU) 2022/2464: point (a) for financial years starting between 1 January 2024 and 31 December 2026; point (b)(i)-(ii) undertakings and parent undertakings exceeding a net turnover of EUR 450 000 000 and an average number of 1 000 employees; point (c) is deleted. Article 1 amends Articles 19a and 29a of Directive 2013/34/EU accordingly. Article 5(1): transposition of Articles 1 to 3 by 19 March 2027. Article 6: entry into force on the twentieth day after publication (OJ L, 2026/470, 26.2.2026).
CSDDD scope is narrowed to EU companies with more than 5 000 employees and EUR 1.5 billion net worldwide turnover (and third-country companies with EUR 1.5 billion EU turnover); Member States must transpose by 26 July 2028 and apply the rules from 26 July 2029; the climate transition plan obligation in Article 22 is deleted.

Entry into force was 18 March 2026.

Article 5(1), second subparagraph: transposition of Article 4 by 26 July 2028.
This is a register, not advice. It records what an instrument says and when it applies. Whether it applies to a particular company, product or shipment is a question for somebody who knows that business, and the answer is frequently not what the summary above would suggest.
